Item 1.01. Entry into a Material Definitive Agreement
At the Companys Annual Meeting of Stockholders, held on May 24, 2005, the Companys stockholders voted to amend the 2001 Long-Term Incentive Plan (the Plan) to increase the number of common shares available under the Plan by 500,000 shares, bringing the total shares available under the Plan to 1,500,000 shares. The Plan provides for the granting of incentive stock options, nonqualified stock options, restricted stock, and performance-based awards to eligible persons, which include directors, employees, and officers of, and consultants providing services to, the Company, as determined by the Plan Committee.
