Item 8.01. Other Events.
On December 22, 2010, Matrixx Initiatives, Inc. (the “Company”) and H.I.G. Capital, LLC (“HIG”) filed a joint press release announcing the commencement of the previously announced tender offer by Wonder Holdings, Inc. and Wonder Holdings Acquisition Corp., both of which are affiliates of and controlled by HIG, to acquire all of the outstanding shares of the Company’s common stock, $0.001 par value per share, including the associated rights, at a price of $8.00 per share in cash, without interest (less any applicable withholding taxes).
