Acceleration Upon Termination Without Cause, Resignation for Good Reason or in the Event of Death or Disability.  Notwithstanding any contrary provision of the Plan or this Agreement, the Restricted Stock Units awarded under this Agreement shall become fully vested in the event prior to the Vesting Date the Grantee is involuntarily terminated by the Company without Cause, resigns from the Company for Good Reason or terminates employment with the Company on account of death or Disability.
