“Bonus” means the Executive’s annual incentive payment, if any.  The term “Bonus” excludes any payment in respect of a long-term incentive or a special or retention bonus.  For 2009, Bonuses recognized under this Plan include any Bonus paid on or after January 1, 2009 through December 31, 2009, even if paid prior to the Effective Date of the Plan.
