Shareholder Proposals for the 2010 Annual Meeting
Requirements for Shareholder Proposals Under Rule 14a-8. Shareholder proposals submitted pursuant to Rule 14a-8 under the Securities Exchange Act of 1934 must be received by the Company no later than December 17, 2009 and must comply with all applicable SEC rules, in order to be considered for inclusion in the Companys proxy materials for the 2010 Annual Meeting. If the date of the 2010 Annual Meeting is before April 21, 2010 or after June 20, 2010, then the deadline is a reasonable time before the Company begins to print and send its proxy materials for the 2010 Annual Meeting. To be considered at the 2010 Annual Meeting, the shareholder proposal must also satisfy the timing requirements described below for proposals submitted outside Rule 14a-8.
Requirements for Shareholder Proposals to be Brought Outside Rule 14a-8. For shareholder proposals that are not submitted pursuant to Rule 14a-8, the shareholder must give timely notice in writing to the Secretary of the Company. To be timely, the notice must be delivered to or mailed and received by the Secretary of the Company at the principal executive offices of the Company, no later than March 2, 2010. If the date of the 2010 Annual Meeting is before April 21, 2010 or after August 19, 2010, then the deadline is the close of business on the tenth calendar day (or if such date is a Saturday, Sunday or federal holiday, then the next business day) following the day on which public announcement of the date of the 2010 Annual Meeting is first made. A shareholders notice must also satisfy the other requirements set forth in Section 2.4 of the Companys Bylaws.
