Authorized Common Stock

On October 27, 2008, the Company’s Board of Directors approved a 6-to-1 reverse stock split, as previously authorized and approved by the Company’s stockholders at the September 19, 2007 annual meeting, which became effective on November 4, 2008. In addition, the Company reduced the number of authorized shares of common stock from 200,000,000 shares to 84,000,000 shares of which 22,871,670 shares were outstanding at December 31, 2008.
