The Committee may amend, suspend or terminate the ECIP at any time; provided that no amendment may be made without the approval of the Companys shareholders if the effect of such amendment would be to cause outstanding or pending Awards to cease to qualify for the performance-based compensation exception to Section 162(m) of the Code.
