Individual Award Limits During any consecutive 36-month period occurring during the term of the 2009 Stock Incentive Plan, no employee or the Company or any related entity may be granted awards covering more than (i) 3,000,000 shares subject to any award of stock options or stock appreciation rights, and (ii) 3,000,000 shares subject to any share-denominated performance-based award, in each case, subject to appropriate adjustments in accordance with the terms of the plan. The maximum amount of cash payable to any employee of the Company or any related entity under any cash-denominated performance-based award may not exceed $5,000,000, multiplied by the number of years in the applicable performance period. For this purpose, awards granted in payment or settlement of an award granted under the 2009 Management Incentive Plan (described under Proposal III of this Proxy Statement) and intended to qualify as a performance-based award under Section 162(m) will not count toward these individual limitations. |
