V. Representations and Warranties

 

  5.1 Party A represents and warrants that:

 

  5.1.1 Party A is a company duly registered and existing in Beijing under the laws of PRC.

 

  5.1.2 Party A has the full right, power, authority and capacity required to execute, deliver and perform this Agreement and all necessary consents and approvals.

 

  5.1.3 This Agreement shall become legal, valid, and binding upon Party A, and enforceable to Party A in accordance with the terms hereof upon the execution of this Agreement.

 

  5.2 Party B represents and warrants that:

 

  5.2.1 Party B is a company duly registered and existing in Guangzhou under the laws of PRC.

  5.2.2 Party B has the full right, power, authority and capacity required to execute, deliver and perform this Agreement and all necessary consents and approvals.

 

  5.2.3 This Agreement shall become legal, valid, and binding upon Party B, and enforceable to Party B in accordance with the terms hereof upon the execution of this Agreement.

V. Representations and Warranties

 

  5.1 Party A represents and warrants that:

 

  5.1.1 Party A is a company duly registered and existing in Beijing under the laws of PRC.

 

  5.1.2 Party A has the full right, power, authority and capacity required to execute, deliver and perform this Agreement and all necessary consents and approvals.

 

  5.1.3 This Agreement shall become legal, valid, and binding upon Party A, and enforceable to Party A in accordance with the terms hereof upon the execution of this Agreement.

 

  5.2 Party B represents and warrants that:

 

  5.2.1 Party B is a company duly registered and existing in Guangzhou under the laws of PRC.

 

  5.2.2 Party B has the full right, power, authority and capacity required to execute, deliver and perform this Agreement and all necessary consents and approvals.

 

  5.2.3 This Agreement shall become legal, valid, and binding upon Party B, and enforceable to Party B in accordance with the terms hereof upon the execution of this Agreement.

V. Representations and Warranties

This Agreement shall become legal, valid, and binding upon Party B, and enforceable to Party B in accordance with the terms hereof upon the execution of this Agreement.

  5.2.2 Party B has the full right, power, authority and capacity required to execute, deliver and perform this Agreement and all necessary consents and approvals.

 

  5.2.3 This Agreement shall become legal, valid, and binding upon Party B, and enforceable to Party B in accordance with the terms hereof upon the execution of this Agreement.

  5.2.2 Party B has the full right, power, authority and capacity required to execute, deliver and perform this Agreement and all necessary consents and approvals.

 

  5.2.3 This Agreement shall become legal, valid, and binding upon Party B, and enforceable to Party B in accordance with the terms hereof upon the execution of this Agreement.

3. Representations and Warranties

 

  3.1 Party A hereby represents and warrants as follows:

 

  3.1.1 Party A is a company duly registered in Guangzhou and validly existing under the laws of the PRC.

 

  3.1.2 Party A has full right, power, authority and capacity and all governmental and third party consents and approvals necessary to execute, deliver and perform these Agreements.

 

  3.1.3 This Agreement has been duly executed and delivered by Party A and constitutes a legal, valid and binding agreement of Party A enforceable against it in accordance with its terms.

 

  3.2 Party B hereby represents and warrants as follows:

 

  3.2.1 Party B is a company duly registered in Beijing and validly existing under the laws of the PRC, and is engaged in the business of designing and producing advertisements.

 

  3.2.2 The contents of Party B’s advertisements do not and will not violate any applicable law, regulation or government policy.

 

  3.2.3 Party B has full right, power, authority and capacity and all governmental and third party consents and approvals necessary to execute, deliver and perform these Agreements.

 

  3.2.4 This Agreement has been duly executed and delivered by Party B and constitutes a legal, valid and binding agreement of Party B enforceable against it in accordance with its terms.

4. Representations and Warranties

 

4.1 Party A represents and warrants as follows:

 

  4.1.1 Party A is a company duly-registered in Guangzhou and validly existing under the laws of the PRC.

  4.1.2 Party A has full right, power, authority and capacity and all consents and approvals necessary to execute, deliver and perform this Agreement.

 

  4.1.3 This Agreement has been duly executed and delivered by Party B and constitutes a legal, valid and binding agreement of Party B enforceable against it in accordance with its terms.

 

4.2 Party B represents and warrants as follows:

 

  4.2.1 Party B is a company duly registered in Guangzhou and validly existing under the laws of the PRC and is licensed by Guangdong Province Telecommunication Industry Administration Office to engage in the business of providing information services on the Internet.

 

  4.2.2 Party B has full right, power, authority and capacity and all consents and approvals necessary to execute, deliver and perform this Agreements.

 

  4.2.3 This Agreement has been duly executed and delivered by Party B and constitutes a legal, valid and binding agreement of Party B enforceable against it in accordance with its terms.
