At our 2009 Annual Meeting of Stockholders, we will ask you to:

 

  1. Elect three directors to serve for a three-year term expiring at the 2012 annual meeting. The following three individuals are the Board of Directors’ nominees:

William C. Horn    Jack H. Nelson    Peter D. Terwilliger

 

  2. Ratify the appointment of Shatswell, MacLeod & Co., P.C. as our independent registered public accounting firm for the fiscal year ending December 31, 2009;

 

  3. Approve an advisory proposal on our executive compensation policies and procedures; and

 

  4. Transact any other business as may properly come before the annual meeting, or at any adjournment or postponement thereof. Please note that at this time we are not aware of any such business.

You may vote at the annual meeting if you were a stockholder of New Hampshire Thrift Bancshares at the close of business on March 17, 2009, the record date. A list of stockholders entitled to vote at the annual meeting will be available for inspection by any stockholder at the offices of New Hampshire Thrift Bancshares for a period of ten days prior to the annual meeting until the close of such meeting.
