The New York Times Company (the Company) has sold an aggregate of 100 of the 310 Class B units of Fenway Sports Group (FSG) held by the Company to multiple buyers for an aggregate purchase price of $30.0 million. The transactions were completed on February 3, 2012. The Company expects to recognize a pre-tax gain of approximately $18 million, which will be recorded in the first quarter of 2012. Following the sale, the Company owns approximately 4.97% in FSG, and is exploring the sale of this remaining interest, in whole or in parts. FSG owns the Boston Red Sox baseball club; Liverpool Football Club (a soccer team in the English Premier League); approximately 80% of New England Sports Network (a regional cable sports network that televises the Red Sox and Boston Bruins hockey games); and 50% of Roush Fenway Racing (a leading NASCAR team).
