Dear Stockholder of The New York Times Company: The 2009 Annual Meeting of Stockholders of The New York Times Company (the “Company”) will be held at TheTimesCenter, 242 West 41st Street, New York, New York 10018, on Thursday, April 23, 2009, at 10:00 a.m. (local time). Meeting directions are available at Proposals to be considered at the Annual Meeting: (1) Election of Directors; (2) Ratification of the selection of Ernst & Young LLP as auditors; and (3) To transact such other business as may properly come before the meeting. The Board of Directors recommends a vote “FOR” Items 1 and 2. The Board of Directors has fixed the close of business on February 27, 2009 as the record date (the “Record Date”) for the determination of stockholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment or postponement thereof. Class A stockholders are entitled to vote for the election of five of the 15 directors. Class A and Class B stockholders, voting together as a single class, are entitled to vote on the proposal to ratify the selection of Ernst & Young LLP as auditors for the 2009 fiscal year. Class B stockholders are entitled to vote for the election of 10 of the 15 directors and on all other matters presented to the meeting.
