Acquisition of Pullman Industries, Inc. (“Pullman”)

In October 2006, the Company acquired the stock of Pullman for approximately $120.0 million including cash of $54.0 million, the assumption of debt of $53.0 million and contingent deferred consideration expected to be paid within six to nine months after the acquisition date. Pullman is a leading manufacturer of tubular and shaped structures using roll forming and other processes, primarily for the automotive industry.
