WIKI ANALYSIS"North American Energy Partners Inc. (NAEP)" is the surviving entity post amalgamation of NACG Holdings Inc. (NACG Holdings) with 2 of its wholly-owned subsidiaries – NACG Preferred Corp. (NACG Preferred) and North American Energy Partners Inc, in November 2006. North American Energy Partners Inc. was incorporated on 17 October 2003 under the Canada Business Corporations Act and was the wholly owned subsidiary of NACG Preferred Corp, which was in turn was a wholly owned subsidiary of NACG Holdings Inc. NACG Holdings was incorporated on 31 October 2003 when NACG Preferred Corp, NAEP’s corporate parent, and NACG Acquisition Inc, NAEP’s wholly owned subsidiary, entered into a purchase and sale agreement with Norama Ltd (Norama) and its subsidiary North American Equipment Ltd. Pursuant to this agreement, Norama sold its stake in North American Construction Group Inc. to NACG Preferred Corporation and NACG Acquisition Inc. for a total consideration of C$405.5 mn.
