On June 5, 2007, Novell, Inc. (the “Company”) received notification from The Nasdaq Stock Market that the NASDAQ Listing and Hearing Review Council, after consultation with NASDAQ Listing Qualification staff, has determined that the Company has demonstrated compliance with all NASDAQ Marketplace rules. As previously announced, the Company received notices of non-compliance from NASDAQ due to the delay in filing its Quarterly Reports on Form 10-Q for the fiscal quarters ended July 31, 2006 and January 31, 2007 and its Annual Report on Form 10-K for the fiscal year ended October 31, 2006. The Company delayed the filing of these periodic reports pending the completion of the voluntary review by its Audit Committee of the Company’s historical stock-based compensation practices. On May 23, 2007, the Company announced the completion of the Audit Committee’s review. On May 25, 2007, the Company filed each of these delayed reports. As a result, NASDAQ informed the Company that the NASDAQ delisting proceeding related to these delayed periodic filings is now closed and that the Company’s securities will continue to be listed on the NASDAQ Global Select Market.

The 2007 annual meeting of stockholders of Novell, Inc. (“Novell”) has been scheduled for August 30, 2007 (the “Annual Meeting”). Because the date of the Annual Meeting has been changed by more than 30 days from the anniversary of Novell’s 2006 annual meeting of stockholders, in accordance with Rule 14a-5(f) and Rule 14a-8(e) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), the deadline for receipt of stockholder proposals for inclusion in Novell’s proxy statement for the Annual Meeting pursuant to Rule 14a-8 has been set at June 20, 2007.

As previously announced, Novell, Inc. (“Novell”) initiated a voluntary review of its historical stock-based compensation practices and the related potential accounting impact. Based on preliminary findings, the Audit Committee of Novell's Board of Directors engaged independent outside legal counsel to assist with the conduct of the review. As a result of the ongoing review, Novell delayed the filing of its Quarterly Reports on Form 10-Q for the fiscal quarters ended July 31, 2006 and January 31, 2007 and its Annual Report on Form 10-K for the fiscal year ended October 31, 2006.

The investigatory portion of the review, which is now substantially complete, has not identified any intentional wrongdoing by any former or current Novell employees, officers or directors. Management believes, however, based on the findings of the review thus far, together with the assistance of management's separately retained outside legal counsel and forensic accounting firm, that Novell utilized incorrect measurement dates for some of the stock-based compensation awards granted during the review period, November 1, 1996 through September 12, 2006. As such, Novell will need to revise the measurement dates utilized for these awards for financial accounting and reporting purposes and will be required to recognize additional stock-based compensation expense as a result. As of the date of this report, Novell has not yet determined with finality the amount of the stock-based compensation charges that will result from the adjustment in measurement dates, the resulting tax and accounting impact of such charges, or the impact of such charges on its previously issued financial statements.

Novell and its advisers continue to work diligently on the review and the company will disclose the results once the review is completed. At this time, however, Novell is not in a position to predict when the review will be completed.

On February 20, 2007, Novell, Inc. (“Novell”) received a letter from the NASDAQ Listing and Hearing Review Council (the “Listing Council”) advising that the Listing Council has called for review the January 9, 2007 decision of the NASDAQ Listing Qualifications Panel (the “Panel”) and that the Listing Council has determined to stay the Panel's decision and any future Panel determinations to suspend Novell's securities from trading pending further action by the Listing Council.

The Listing Council has given Novell until May 4, 2007 to make any submissions that Novell would like to be incorporated into the written record to be considered by the Listing Council. Novell does not anticipate that the Listing Council will take any action to suspend Novell's securities from trading until the Company has made that submission and the Listing Council has considered the entire record. However, there can be no assurance that the Listing Council will grant Novell's request for continued listing.

As previously announced, Novell received NASDAQ notices of non-compliance on September 14, 2006 in relation to the delay in filing its Quarterly Report on Form 10-Q for the fiscal quarter ended July 31, 2006 (the “Third Quarter Form 10-Q”) and on January 22, 2007 in relation to the delay in filing its Annual Report on Form 10-K for the fiscal year ended October 31, 2006 (the “Form 10-K”).

Novell has delayed the filing of its Third Quarter Form 10-Q and Form 10-K pending the completion of the review by its Audit Committee of the Company's historical stock-based compensation practices and related accounting. In response to the first notice of non-compliance, Novell requested a hearing before the Panel. On January 9, 2007, the Panel granted Novell's request for continued listing subject to the requirements that, on or about March 1, 2007, Novell provide the Panel with certain information relating to the Audit Committee's review, which Novell will comply with. The Panel also required that Novell file the Third Quarter Form 10-Q and any necessary restatements on or before March 13, 2007, which is an aspect of the decision that was stayed by the Listing Council.

On September 13, 2006, Novell received a notice dated September 12, 2006 of a purported default from Wells Fargo Bank, N.A., the trustee (the “Trustee”) with respect to its $600 million 0.50% Convertible Senior Debentures due 2024 (the “Debentures”). The Debentures were issued by Novell pursuant to an indenture dated July 2, 2004 (the “Indenture”) between the Trustee and Novell. Such notice stated that in the event Novell fails to file the Form 10-Q with the Securities and Exchange Commission (the “SEC”) within 5 calendar days of its prescribed due date, a default will have occurred under the Indenture and also demanded that Novell immediately remedy such default. The notice stated that the purported default will ripen into an Event of Default unless Novell files the Form 10-Q with the SEC within 60 days after the date of the notice of purported default. Under the Indenture, an Event of Default only occurs upon both the occurrence of a default and the receipt of any applicable notices, and the passage of any applicable cure periods.

Novell does not believe that it has failed to perform its obligations under the Indenture. Therefore, Novell believes that the above-mentioned notice of default is invalid and without merit. Novell’s Indenture requires that it provide the Trustee copies of all SEC filings within 15 days after such filings are actually made. Novell will comply with this requirement by providing the Form 10-Q to the Trustee after filing it with the SEC.

In the event the above-mentioned notice of default is not invalid, and in the event such default were to mature into an Event of Default under the Indenture, the Trustee or the holders of at least 25% in aggregate outstanding principal amount of Debentures may accelerate the maturity of the Debentures. If this were to come to pass, Novell anticipates that it would have sufficient cash on hand to satisfy its obligations under the Debentures.
