The 2000 Nonqualified Stock Option Plan The 2000 Nonqualified Stock Option Plan (the 2000 NQ Plan), with an aggregate of 28.0 million shares of common stock initially reserved for issuance, provides for the grant of nonstatutory stock options. As of October 31, 2008, a total of 14.4 million shares of common stock remained available for issuance pursuant to the 2000 NQ Plan. Under the 2000 NQ Plan, nonstatutory options are granted at the fair market value of our common stock at the date of grant (defined in the plan as the closing price on the day prior to the grant date), generally vest over 48 months (although options have been granted that vest over 24 months), are exercisable upon vesting and expire either four, eight or ten years from the date of grant.
