Ocean Power Technologies, Inc. (Nasdaq: OPTT and London Stock Exchange

shareholders was held on October 2, 2009. All resolutions were passed,
including the election of the Board of Directors; the ratification of
the selection of KPMG LLP as the Company’s independent registered public
accounting firm for fiscal year 2010; and approval of an amendment to
the 2006 Stock Incentive Plan.
