As you are aware, at our Annual and Special Meeting of Shareholders on May 8, 2009, shareholders are being asked to consider, and if deemed advisable, approve the change of the jurisdiction of incorporation of your company from Canada to Delaware.
Based on our belief that this proposal will be approved, we urge you to complete and return the enclosed IRS Form W-8BEN by May 15, 2009, which is the record date for the next dividend distribution to shareholders. We have provided a postage-paid return envelope addressed to CIBC Mellon Trust Company for this purpose.
The filing of the Form W-8BEN generally will permit a reduced rate of U.S. withholding tax on dividend distributions to non-U.S. registered holders. For example, for an individual who is a Canadian resident for tax purposes, the withholding tax will be 15% if a W-8BEN has been filed prior to the dividend record date versus the statutory withholding tax rate of 30% if no W-8BEN has been filed. The amount of U.S. withholding tax will be shown on your tax reporting form for the year and can generally be claimed as a credit on your Canadian personal tax return.
