We provide cash compensation at a rate of $30,000 per year, payable quarterly to each non-employee director. We also intend to pay the chairman of the Audit Committee an additional fee of $15,000 per year, payable quarterly. In addition, we will reimburse directors for their reasonable expenses incurred in attending meetings of the Board of Directors. Mr. Gray, the chairman of our board of directors, is a party to a retention agreement that provides him with an annual retainer of $167,000. The other material terms of Mr. Grays retention agreement are substantially similar to the terms of those agreements described under Employment Agreements.
