Subject to shareholder ratification, the Audit Committee of the Board of Directors has reappointed the firm of KPMG LLP as the independent registered public accounting firm to audit and report upon our financial statements for 2008. Unless otherwise specified by the shareholders, the shares of stock represented by the proxy will be voted for ratification of the appointment of KPMG LLP as our independent registered public accounting firm to audit and report upon our financial statements for 2008. If this appointment is not ratified by shareholders, the Audit Committee may reconsider its appointment.
One or more representatives of KPMG LLP are expected to be present at the Annual Meeting. They will have an opportunity to make a statement and will be available to respond to appropriate questions.
Audit Fees; Audit-Related Fees; Tax Fees; All Other Fees. The following table sets forth the aggregate fees incurred by the Company in connection with KPMG LLPs audit of the Companys financial statements for the years ended December 31, 2007 and 2006, and for other services rendered by KPMG LLP in those periods.
Audit Fees are fees paid to KPMG LLP for professional services for the audit of Orthovitas consolidated financial statements included in the Companys Form 10-K and review of financial statements included in the Companys Forms 10-Q, and for services that are normally provided by the independent registered public accountants in connection with regulatory filings or engagements. Audit Related Fees consisted of fees relating to (i) services performed in connection with the issuance of consents to various registration statements under the Securities Act of 1933 filed by Orthovita, (ii) consultation on financial accounting and reporting matters in connection with these registration statements; and (iii) services performed in connection with the issuance of comfort letters to underwriters of an offering of Orthovitas common stock.
