How Our Board Solicits Proxies

 

We may solicit proxies by mail, personal interviews, telephone or fax. We may use the Internet to solicit proxies. PNC officers or employees may solicit proxies, but will not receive any special compensation for doing so.

 

We will ask brokerage houses, banks and other custodians of PNC stock to forward proxy materials to their clients. We will pay for their expenses to do so.

 

We hired D.F. King & Co., Inc. to help us solicit proxies for the annual meeting. We will pay D.F. King $17,500, plus its out-of-pocket expenses, for the solicitation of proxies, to provide information to our shareholders and to distribute proxy materials.

How Our Board Solicits Proxies

 

We may solicit proxies by mail, personal interviews, telephone calls, fax transmissions and by use of the Internet. Officers and employees of PNC may solicit proxies, but will receive no special compensation for doing so.

 

We will ask banks, brokerage houses and other types of custodians of PNC stock to forward our proxy material to their clients. We will pay for their expenses involved in this process.

 

We have hired D.F. King & Co., Inc. to help us in soliciting proxies. We will pay D.F. King $15,500, plus its out-of-pocket expenses, for providing information related to the annual meeting to our shareholders and helping to distribute proxy materials.
