2005 Compensation of the Chairman and Chief Executive Officer. As with the Companys executive compensation programs generally, the Committee targets total compensation for the Chairman and CEO within the third quartile of the peer group companies. To this end, the Committee annually engages an external, independent compensation consultant to review total compensation within the peer group and to evaluate the Chairman and CEOs compensation in light of the peer group data. The Committee has retained Frederic W. Cook & Co., Inc. to serve as its independent compensation consultant. The Committee deliberates the Chairman and CEOs performance against pre-established quantitative and qualitative goals, and then refers to the peer group information, to determine each aspect of the Chairman and CEOs compensation.
