In the opinion of the Board of Directors, all of the members of the Audit Committee are independent as that term is defined in the FINRA listing standards and the rules and regulations of the Securities and Exchange Commission (the Commission) and these directors are independent of management and free of any relationships that would interfere with their exercise of independent judgment as members of the Audit Committee. Additionally, all of the Audit Committee members have been determined by our Board of Directors to meet the qualifications of an Audit Committee Financial Expert in accordance with the Commissions rules. Deloitte & Touche LLP, our independent registered public accounting firm, reports directly to the Audit Committee.
