Base Salary and Bonus Potential

Your annual salary will be $260,000 ($21,666.66 per month), paid on a semi-monthly basis. In addition, you will be eligible to participate in Pharsight’s Management Incentive Bonus Program for its Executive Officers. This plan offers you the opportunity to earn a target bonus amount up to 35% of your base salary. Both your base salary and any potential bonus payouts are subject to standard payroll deductions and required withholdings. The Company’s Compensation Committee will determine at its sole discretion whether you have earned an annual bonus, and the amount of any earned annual bonus.

The Company may modify your compensation from time to time as it deems necessary.

Base Salary and Bonus Potential

Your base salary will be $250,000 annually, and will be paid semi-monthly. In Fiscal Year 2007 (FY2007), which begins April 1, 2006, and for subsequent years, you will be eligible for an annual performance bonus, pursuant to the terms and conditions of the Company’s Management Incentive Bonus Program, targeted at thirty-five (35%) percent of your base salary, with total compensation targeted at $337,500. This bonus is tied to company corporate performance goals as well as specific goals to be determined based upon your individual responsibilities, and will be pro-rated from your date of hire for FY2007 to reflect the date on which you joined the Company. The Company’s Compensation Committee will determine at its sole discretion whether you have earned an annual bonus, and the amount of any earned annual bonus, provided that you are employed by Pharsight and in good standing at the time of annual payment.

In FY2006 (which began April 1, 2005), you will be eligible for a variable performance bonus, based on quota attainment and performance objectives to be determined, targeted at $140,000, with total compensation targeted at $320,000. This bonus is tied to company corporate performance goals as well as specific goals to be determined based upon your individual responsibilities, and will be pro-rated from your date of hire for FY2006 to reflect the date on which you joined the Company as Senior Vice President, Global Sales. The Company’s Compensation Committee will determine in its sole discretion whether you have earned an annual bonus, and the amount of any earned annual bonus, provided that you are employed by Pharsight and in good standing at the time of annual payment.
