EMPLOYMENT AGREEMENT

THIS EMPLOYMENT AGREEMENT (this “Agreement”), is made and entered into on July 20, 2007 but effective as of January 1, 2007 (the “Effective Date”), by and between PINNACLE GAS RESOURCES, INC., a Delaware corporation (the “Company”), and RONALD T. BARNES (“Executive”), an individual and a resident of the State of Wyoming.  The Company and Executive may sometimes hereafter be referred to singularly as a “Party” or collectively as the “Parties.”
