General Under the Pitney Bowes Inc. 1998 U.K. S.A.Y.E. Stock Option Plan (the SAYE Plan), a committee authorized by Pitney Bowes board of directors may invite eligible employees to apply for options to purchase shares of Pitney Bowes common stock (Shares) for cash, at a price not less than the higher of the par value of a Share and 80 percent of the average of the closing prices (expressed in U.S. Dollars) of a Share on the New York Stock Exchange on the three prior trading days before the invitation date, converted into U.K. 22 pounds sterling. Offers are targeted to be made on October 1 of each year for a period of 14 days at a per share exercise price equal to 90 percent of the average market value; it is expected that this practice will continue if our stockholders approve the SAYE Plan and if offers are made under it in the future.
