PRINCIPAL ACCOUNTANT FEES AND SERVICES Fees Paid to BDO Audiberia Following is information regarding fees billed by BDO Audiberia for services rendered to the Company in 2004 and 2005. Audit Fees. The aggregate fees billed to the Company by the Companys principal accountant, BDO Audiberia, for the audit of the Companys annual financial statements and for the review of the financial statements included in the Companys quarterly reports on Form 10-Q totaled $145,000 and $150,000 in 2004 and 2005, respectively. Audit fees consist of fees for the audit and review of the Companys financial statements, statutory audits, consents and assistance with and review of documents filed with the SEC. Audit-Related Fees. BDO Audiberia did not provide any assurance or related services which are not included under Audit Fees in 2004 and 2005, respectively. Tax Fees. BDO Audiberia did not provide any tax compliance, tax advice, or tax planning services in 2004 and 2005, respectively. Policy on Audit Committee Pre-Approval of Audit and Permissible Non-Audit Services of Independent Auditors The Audit Committee pre-approves all audit and permissible non-audit services provided by the Companys independent auditors. These services may include audit services, audit-related services, tax and other services. Pre-approval is generally provided for up to one year, and any pre-approval is detailed as to the particular service or category of services and is generally subject to a specific budget. The independent auditors and management are required to periodically report to the Audit Committee regarding the extent of services provided by the independent auditors in accordance with this pre-approval, and the fees for the services performed to date. The Audit Committee may also pre-approve particular services on a case-by-case basis. During 2004 and 2005, all services provided by BDO Audiberia were pre-approved by the Audit Committee in accordance with this policy.
