On March 12, 2012, East Texas Financial Services, Inc. (“ETFS”) issued a press release announcing that it has postponed its special meeting of stockholders that was scheduled for March 14, 2012 at 2:00 p.m. to March 28, 2012 at 2:00 p.m. to provide ETFS stockholders additional time to vote by proxy. The location of the special meeting will be announced at a later date. The purpose of the special meeting is for stockholders of ETFS to consider and vote on the approval of the Agreement and Plan of Reorganization, dated as of December 8, 2011, by and between Prosperity Bancshares, Inc. and ETFS. In connection with the proposed merger of East Texas Financial Services, Inc. into Prosperity, Prosperity has filed with the Securities and Exchange Commission a registration statement on Form S-4 to register the shares of Prosperity’s common stock to be issued to the stockholders of East Texas Financial Services. The registration statement includes a proxy statement/prospectus which was sent to the stockholders of East Texas Financial Services seeking their approval of the proposed transaction.
