Item 1.01.
Entry into a Material Definitive Agreement.

On July 13, 2012, QAD Inc. (the “Company”) entered into an amendment to the unsecured credit agreement with Rabobank, N.A. (the “Facility”). The amendment extends the maturity of the Facility from July 15, 2012 to July 15, 2014. The amendment does not provide for any change in debt covenants.
