Termination Date”), shall thereupon automatically and without further action be cancelled and forfeited by the Participant, and the Participant shall have no further right or interest in or with respect thereto.  No portion of the Performance Share Award and no portion of the Performance Shares which are not payable to the Participant under Section 2.2 above as of the Termination Date shall thereafter become payable.
