Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On March 10, 2005, the board of directors of Restoration Hardware, Inc. (the Company) appointed T. Michael Young as a director and as a member of its audit committee. The board of directors also determined that Mr. Young qualifies as an audit committee financial expert as defined under the rules of the Securities and Exchange Commission. Mr. Young fills a current vacancy on the board of directors and will serve as one of the Companys Class III directors until the 2007 annual meeting of stockholders or until his earlier resignation or removal.
The press release issued by the Company announcing Mr. Youngs appointment to the board of directors is attached as Exhibit 99.1.
