Other Events.

On June 4, 2008, Restoration Hardware, Inc. (the “Company”) issued a press release announcing that Proxy Governance has recommended that the Company’s stockholders vote “FOR” the proposed adoption of the merger agreement with certain affiliates of Catterton Partners at the June 12, 2008 special meeting of stockholders. A copy of the release is attached as Exhibit 99.1.
