Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Satya Nadella has been appointed to the Board of Directors of Riverbed Technology, Inc. (the “Company”), effective March 1, 2013. Mr. Nadella will serve as a Class II director and will stand for reelection at the 2014 annual meeting of stockholders.

Mr. Nadella is president of Microsoft Corporation’s Server and Tools Business, a division that builds and runs Microsoft’s computing platforms, developer tools and cloud services.

In connection with his appointment, Mr. Nadella will enter into the Company’s standard form of director indemnification agreement and will receive the Company’s standard compensation for non-employee directors.
