This excerpt taken from the RVBD DEF 14A filed Oct 3, 2007. When are stockholder proposals due for next years Annual Meeting? If you wish to submit a proposal to be considered for inclusion in next years proxy materials or nominate a director, your proposal must be in proper form according to SEC Regulation 14A, Rule 14a-8 and received by the Secretary of the Company on or before June 5, 2008. If the date of next years annual meeting of stockholders is moved more than 30 days before or 30 days after the anniversary date of the Annual Meeting, the deadline for inclusion of proposals in the Companys proxy statement and proxy is instead a reasonable time before the Company begins to print and mail its proxy materials. If you wish to submit a proposal to be presented at the 2008 Annual Meeting of Stockholders but which will not be included in the Companys proxy materials, your proposal must be submitted in writing and in conformance with our bylaws to Riverbed Technology, Inc., 199 Fremont Street, San Francisco, CA 94105, Attn: Secretary, no earlier than July 20, 2008 and no later than August 19, 2008. If the date of next years annual meeting of stockholders is moved more than 30 days before or 30 days after the anniversary of the Annual Meeting, then notice of such proposal must be received no later than the close of business on the later of (i) the 90th day prior to the annual meeting, or (ii) the 10th day following the day on which public announcement of the meeting date is first made. You are advised to review Riverbeds Bylaws (the Bylaws), which contain additional requirements about advance notice of stockholder proposals and director nominations.
