How can stockholders submit proposals to be raised at the 2009 Annual Meeting that will not be included in our Proxy Statement for the 2009 Annual Meeting? To be raised at the 2009 Annual Meeting, stockholder proposals must comply with our Amended and Restated Bylaws. Under our Amended and Restated Bylaws, a stockholder must give advance notice to our Corporate Secretary of any business, including nominations of directors for our Board, that the stockholder wishes to raise at our Annual Meeting. To be timely, a stockholders notice shall be delivered to our Corporate Secretary at our principal executive offices not less than forty-five (45) or more than seventy-five (75) days prior to the first anniversary of the date on which we first mailed our proxy materials for the preceding years annual meeting of stockholders. Since the proxy statement for our 2008 Annual Meeting was first mailed to stockholders on April 25, 2008, stockholder proposals must be received by our Corporate Secretary at our principal executive offices no earlier than February 9, 2009 and no later than March 11, 2009, in order to be raised at our 2009 Annual Meeting. |
