The trading price of our common stock is likely to be volatile.

The trading prices of the securities of technology companies have been highly volatile. Further, our common stock has a limited trading history. Factors that could affect the trading price of our common stock include:

 

    variations in our operating results;

 

    announcements of technological innovations, new services or service enhancements, strategic alliances or significant agreements by us or by our competitors;

 

    the gain or loss of significant customers;

 

    recruitment or departure of key personnel;

 

    changes in the estimates of our operating results or changes in recommendations by any securities analysts that elect to follow our common stock;

 

    market conditions in our industry, the industries of our customers and the economy as a whole; and

 

    adoption or modification of regulations, policies, procedures or programs applicable to our business.

In addition, if the market for technology stocks or the stock market in general experiences loss of investor confidence, the trading price of our common stock could decline for reasons unrelated to our business, operating results or financial condition. The trading price of our common stock might also decline in reaction to events that affect other companies in our industry even if these events do not directly affect us. If a suit were filed against us, regardless of its merits or outcome, it could result in substantial costs and divert management’s attention and resources.
