Item 2.02. Results of Operations and Financial Condition.

On April 22, 2009, Rome Bancorp, Inc. ("the Company") issued a press release announcing its financial results for the quarter ended March 31, 2009. The press release also announced the declaration of a quarterly dividend in the amount of 8.5 cents ($0.085) per common share, payable May 21, 2009 to stockholders of record as of May 7, 2009. A copy of the press release is attached as Exhibit 99.1.
