Restricted Stock Awards shall be evidenced by Award Agreements specifying whether the Award is a Restricted Stock Bonus or a Restricted Stock Purchase Right and the number of shares of Stock subject to the Award, in such form as the Committee shall from time to time establish. Award Agreements evidencing Restricted Stock Awards may incorporate all or any of the terms of the Plan by reference and shall comply with and be subject to the following terms and conditions: 8.1 This excerpt taken from the ROST DEF 14A filed Apr 14, 2008. The Committee may grant restricted stock
awards under the 2008 Plan either in the form of a restricted stock purchase
right, giving a participant an immediate right to purchase common stock, or in
the form of a restricted stock bonus, in which stock is issued in consideration
for services to the Company rendered by the participant. The Committee
determines the purchase price payable under restricted stock purchase awards,
which may be less than the then current fair market value of our common stock.
Subject to the minimum vesting requirements described above under Full Value
Award Limits, restricted stock awards may be subject to vesting conditions
based on such service or performance criteria as the Committee specifies,
including the attainment of one or more performance goals similar to those
described below in connection with performance awards. Shares acquired pursuant
to a restricted stock award may not be transferred by the participant until
vested. Unless otherwise provided by the Committee, a participant will forfeit
any shares of restricted stock as to which the vesting restrictions have not
lapsed prior to the participants termination of service. Unless otherwise
determined by the Committee, participants holding restricted stock will have the
right to vote the shares and to receive any dividends paid, except that
dividends or other distributions paid in shares will be subject to the same
restrictions as the original award.
