Stock Appreciation Rights shall be evidenced by Award Agreements specifying the number of shares of Stock subject to the Award, in such form as the Committee shall from time to time establish. Award Agreements evidencing SARs may incorporate all or any of the terms of the Plan by reference and shall comply with and be subject to the following terms and conditions: 7.1 This excerpt taken from the ROST DEF 14A filed Apr 14, 2008. Rights. The Committee may grant stock
appreciation rights either in tandem with a related option (a Tandem SAR) or
independently of any option (a Freestanding SAR). A Tandem SAR requires the
option holder to elect between the exercise of the underlying option for shares
of common stock or the surrender of the option and the exercise of the related
stock appreciation right. A Tandem SAR is exercisable only at the time and only
to the extent that the related stock option is exercisable, while a Freestanding
SAR is exercisable at such times or upon such events and subject to such terms,
conditions, performance criteria or restrictions as specified by the Committee.
The exercise price of each stock appreciation right may not be less than the
fair market value of a share of our common stock on the date of grant.
Upon the exercise of any stock appreciation right, the participant is entitled to receive an amount equal to the excess of the fair market value of the underlying shares of common stock as to which the right is exercised over the aggregate exercise price for such shares. Payment of this amount upon the exercise of a Tandem SAR may be made only in shares of common stock whose fair market value on the exercise date equals the payment amount. At the Committees discretion, payment of this amount upon the exercise of a Freestanding SAR may be made in cash or shares of common stock. The maximum term of any stock appreciation right granted under the 2008 Plan is ten years. Stock appreciation rights are generally nontransferable by the participant other than by will or by the laws of descent and distribution, and are generally exercisable during the participants lifetime only by the participant.
