An NEO may resign for good reason
within six months after any of the following events: (1) the Companys failure

diminishment in the nature or scope of the NEOs position without his or her
consent; or (3) without his or her consent, a relocation of the NEOs
principal place of employment by more than 25 miles (40 miles in the case of
Mr. Balmuth) or outside of the New York
area in the case of Ms. Panattoni and Ms. Rentler. In addition, Mr. Balmuths
agreement permits him to resign for good reason if he is not elected Chairman
of the Board of Directors when Mr. Ferber ceases to fill that
