An NEO may resign for “good reason”
within six months after any of the following events: (1) the Company’s failure
to comply with any material provision of the NEO’s employment agreement within
ten days after written notice to the Company of its failure; (2) a significant
diminishment in the nature or scope of the NEO’s position without his or her
consent; or (3) without his or her consent, a relocation of the NEO’s
principal place of employment by more than 25 miles (40 miles in the case of
Mr. Balmuth) or outside of the New York
area in the case of Ms. Panattoni and Ms. Rentler. In addition, Mr. Balmuth’s
agreement permits him to resign for good reason if he is not elected Chairman
of the Board of Directors when Mr. Ferber ceases to fill that
