To provide written standards designed to promote:
a. Honest and ethical conduct, including the ethical handling of conflicts of interest between personal and professional relationships;
b. Full, fair, accurate, timely and understandable disclosure in reports and documents that the Company files with, or submits to, the Securities and Exchange Commission and in other public communications made by the Company;
c. Compliance with applicable governmental laws, rules and regulations;
d. Prompt internal reporting of violations of the BC&E Code to an appropriate person or persons identified in this BC&E Code; and
e. Accountability for adherence to the BC&E Code.

The Committees primary functions are to discharge, or to assist the Board in discharging, the Boards responsibilities with respect to all forms of compensation to the Companys Board members, executive officers and other employees to assure that such compensation is fair, competitive and sufficient to attract and retain highly qualified individuals, to administer the Companys current and future equity compensation plans and to discuss the Compensation Discussion & Analysis with the Companys management and recommend that the Compensation Discussion & Analysis be included in the Companys proxy statement.
