On November 18, 2009, SVB Financial Group, a Delaware corporation (the Company), entered into an underwriting agreement with J.P. Morgan Securities Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the several underwriters listed on Schedule 1 thereto (the Underwriters), pursuant to which the Company agreed, subject to the satisfaction of certain conditions, to sell and issue 7,800,000 shares of its common stock, par value $0.001 (the Common Stock) at a purchase price of $38.50 per share. The Common Stock will be sold pursuant to the Registration Statement (File No. 333-163135), and the prospectus forming part thereof, filed with the Securities and Exchange Commission on November 16, 2009.
