Eligibility. Each of our executive officers (excluding the CEO) is eligible for a bonus award for each fiscal year in an amount equal to a pre-established percentage, determined in the discretion of the Executive Compensation Committee, of the amount obtained by multiplying the executive officers regular weekly base salary rate by the number of weeks during a pre-established plan year that the executive officer served as an executive officer, up to a maximum bonus of $1.5 million. An executive officer is defined as an officer subject to Section 16(a) of the Securities Exchange Act of 1934.
Business Criteria. Each executive officers bonus is based on a pre-established performance target which includes one or more of the following components: (i) identical-store sales; (ii) operating profit; and (iii) working capital. For purposes of such goal, identical-store sales and operating profit include all of our operations.
Bonus Amount. The bonus award for any executive officer is based on the achievement of specified levels above the performance target, but the Committee, in its discretion, may reduce the amount payable to any executive officer. Prior to the payment of a bonus award to an executive officer, the Committee must certify in writing the level of the performance goals attained.
