Compensation. During fiscal
2008, the compensation for our named executive officers consisted of three
primary components: base salary, cash bonuses and equity compensation awards.
The Committee does not have a formal or informal policy regarding the
allocation between long-term and short-term compensation and cash and non-cash
compensation. The Committee determines the proper allocations by considering
the balance that is required to retain executives and reward them for their day
to day responsibilities while appropriately motivating executives to strive to
achieve our long-term goals, such as profitability and increasing stockholder
value.
