DESIGNATION. You may name a beneficiary or beneficiaries to
receive any DSUs and related dividend equivalents that vest before you die but
are settled after you die. This may be done only on a Beneficiary
Designation Form and by following the rules described in that
Form. The Beneficiary Designation Form does not need to be completed
now and is not required as a condition of receiving your
Award. However, if you die without completing a Beneficiary
Designation Form or if you do not complete that Form correctly, your beneficiary
will be your surviving spouse or, if you do not have a surviving spouse, your
estate. 3
(g) This excerpt taken from the SMG 8-K filed Feb 2, 2005. 10.02 Beneficiary
Designation. Each Participant may name
a Beneficiary or Beneficiaries (who may be named contingently or
successively) to receive any Plan benefits that are unpaid at
the Participants death. Each designation made will revoke
all earlier designations made by the same Participant, must be
made on a form prescribed by the Committee and will be effective
only when filed in writing with the Committee. If a Participant
has not made an effective Beneficiary designation, the deceased
Participants Beneficiary will be his or her surviving
spouse or, if there is no surviving spouse, the deceased
Participants estate. The identity of a Participants
designated Beneficiary will be based only on the information
included in the latest beneficiary designation form completed by
the Participant and will not be inferred from any other evidence.
