Total audit fees billed by Grant Thornton LLP, including fees for professional services and expenses relating to the audit of our consolidated financial statements for the fiscal years ended March 31, 2005 and 2004, as well as fees related to the review of our consolidated financial statements included in our Form 10-Qs for fiscal 2005, accounting consultations and review of documents filed with the SEC, totaled $419,474 and $249,258, respectively. The audit fees billed for the fiscal year ended March 31, 2005 included $150,000 for the attestation required by Section 404 of the Sarbanes-Oxley Act. Audit-Related Fees. Total audit-related fees billed by Grant Thornton LLP for the fiscal years ended March 31, 2005 and 2004, primarily for assurance and related services, totaled $8,778 and $9,210, respectively. Tax Fees. Tax fees billed by Grant Thornton LLP for the years ended March 31, 2005 and 2004 totaled $3,732 and $29,380, respectively, for services related to tax compliance, tax advice and tax planning. All Other Fees. There were no fees billed by Grant Thornton LLP for the years ended March 31, 2005 and 2004 that qualified under all other fees. All fees described above were approved in advance by our Audit Committee. During the fiscal year ended March 31, 2005, none of the total hours expended on our financial audit by Grant Thornton LLP were provided by persons other than full-time permanent employees of Grant Thornton LLP. 6 |
