PROPOSALS FOR THE 2006 ANNUAL MEETING Pursuant to federal securities laws, any proposal by a stockholder to be presented at the 2006 Annual Meeting of Stockholders and to be included in the Companys proxy statement must be received at the Companys executive office at 30-00 47th Avenue, Long Island City, New York 11101, no later than the close of business on April 22, 2006. Proposals should be sent to the attention of the Secretary. Pursuant to the Companys By-laws, in order for business to be properly brought before an annual meeting of stockholders by a Stockholder, the stockholder must give written notice of such stockholders intent to bring a matter before the annual meeting not less than ninety days prior to the date of such meeting; provided, however, that if less than ninety days notice or prior public disclosure of the date of such meeting is given to stockholders or made, the stockholder must give such written notice no later than the close of business on the tenth (10th) day following the day on which notice or public disclosure of the date of such meeting is given or made. Each such notice should be sent to the attention of the Companys Secretary, and must set forth certain information with respect to the stockholder who intends to bring such matter before the meeting and the business desired to be conducted, as set forth in greater detail in the Companys By-laws. 17 |
