Use of Proceeds

On July 17, 2000, we completed an underwritten initial public offering of our common stock pursuant to a Registration Statement on Form S-1 (SEC file No. 333-96137), which became effective on July 10, 2000. Public trading of the common stock offered in the initial public offering commenced on July 12, 2000. We sold an aggregate of 4,600,000 shares of common stock in the offering at a price to the public of $13 per share, resulting in gross proceeds of $59.8 million. Our net proceeds, after deduction of the underwriting discount of $4.2 million and other offering expenses of $3.2 million, were approximately $52.4 million. All shares sold in the offering were sold by us.

During the three months ended June 30, 2008, we did not use any proceeds from the offering. The remaining net proceeds from the offering have been invested in cash, cash equivalents, and marketable debt securities. The use of the proceeds from the offering does not represent a material change in the use of proceeds described in the prospectus contained in the Registration Statement on Form S-1 described above.

Repurchases of Equity Securities

In October 2005, the board of directors approved the Company’s repurchase of outstanding shares of its common stock from the open market, on an opportunistic basis, up to $15 million. During the three months ended September 30, 2006, we had repurchased 690,581 shares at an average price of $21.72, utilizing the $15 million available under this program. On July 25, 2006, the board of directors approved an additional $15 million stock repurchase program.

In 2005, our Board of Directors continued the expanded the stock repurchase program we announced in October 2004. In February 2005, the Company repurchased 885,605 shares of its common stock at an average price of $15.66 per share, including brokerage commissions of $0.03 per share.
