Base Salary. The base salary for each executive officer is set on the basis of personal performance, the salary levels in effect for comparable positions with our principal competitors (including, but not limited to, Dow Jones US Restaurants & Bars set forth in the Stock Price Performance Graph appearing elsewhere in this proxy statement) and our financial performance relative to these competitors. Factors relating to individual performance that are assessed in setting base compensation are based on the particular duties and areas of responsibility of the individual executive officer. Factors relating to our financial performance that may be related to increasing or decreasing base salary include revenues and earnings. The establishment of base compensation involves a subjective assessment and weighing of these criteria and is not based on any specific formula.
