NOTICE OF 2005 ANNUAL MEETING OF STOCKHOLDERS

 

Date:   Thursday, October 27, 2005

 

Time:   10:00 a.m. Pacific Time (doors will open at 9:00 a.m.)

 

Place:   Auditorium,
       Sun Microsystems, Inc.,
       Santa Clara campus,
       4030 George Sellon Circle,
       Santa Clara, California

 

At the meeting, you will be asked to:

 

  1.   Elect nine members to the Board of Directors;

 

  2.   Ratify the appointment of Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending June 30, 2006;

 

  3.   Consider a stockholder proposal, if properly presented at the meeting, regarding performance-based compensation;

 

  4.   Consider a stockholder proposal, if properly presented at the meeting, regarding Sun’s stockholder rights plan; and

 

  5.   Consider any other matters that may properly be brought before the meeting.
